Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and Pro Trades Max LLC ("ProTradesMax," "we," "us," or "our") governing your access to and use of the ProTradesMax web application, mobile app, APIs, and related services (collectively, the "Service").
1. Acceptance of terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a business or other organization (the "Customer"), you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
2. Description of service
ProTradesMax provides a multi-tenant software-as-a-service platform for trade contractors, including features for bids and proposals, jobs, work orders, invoicing, scheduling, dispatch, inventory and equipment management, and a field-technician mobile app with location-aware dispatch. Features and availability may change over time.
3. Account registration & eligibility
- You must be at least 18 years of age and capable of entering into a binding contract.
- The Service is intended for business use. You agree to use it only on behalf of a legitimate business and not for personal, household, or consumer purposes.
- You agree to provide accurate, current, and complete information during registration and to keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access.
4. Subscription, billing & taxes
The Service is offered on a paid subscription basis (monthly or annual) unless otherwise agreed in writing. Payments are processed by Stripe; by providing payment information, you authorize us and Stripe to charge the applicable fees to your payment method.
- Auto-renewal: Subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled before the renewal date.
- Refunds: Except where required by applicable law, fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or account downgrades.
- Taxes: Fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes applicable to your subscription, other than taxes on our net income.
- Price changes: We may change subscription prices with reasonable advance notice. Changes take effect on the next renewal after the notice period.
- Past-due amounts: If a payment fails, we may suspend access to the Service until amounts are paid in full.
5. Customer Data
"Customer Data" means information, files, photos, and content that you or your authorized Users submit to or generate through the Service, including records about your end customers and properties. As between you and ProTradesMax, you retain all rights in Customer Data.
You grant ProTradesMax a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use Customer Data solely to provide, maintain, secure, and improve the Service for you, to provide support, and to comply with law.
You are responsible for: (a) the accuracy, quality, and legality of Customer Data; (b) obtaining all necessary rights, consents, and notices from your end customers and your own personnel (including consent to background geolocation tracking where applicable); and (c) the conduct of your authorized Users.
6. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Upload content that is unlawful, infringing, defamatory, obscene, harassing, or that violates a third party's rights.
- Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Service, except to the extent expressly permitted by law.
- Circumvent or attempt to circumvent any access controls, rate-limits, or security features.
- Use the Service in any way that imposes an undue burden on our infrastructure or that interferes with other customers.
- Scrape, crawl, or use automated tools to extract data from the Service except through APIs we expressly provide.
- Resell, sublicense, or make the Service available to third parties outside your authorized Users without our written consent.
7. Third-party services
The Service interoperates with third-party services such as QuickBooks (accounting), Stripe (payments), and Google Maps Platform (mapping and routing). Your use of those services is subject to their own terms and privacy policies, which apply in addition to these Terms. We are not responsible for third-party services, and a third party may modify or discontinue its service at any time.
8. Intellectual property
The Service, including all software, designs, text, graphics, logos, and other content (other than Customer Data), is owned by ProTradesMax or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the subscription term. We reserve all rights not expressly granted.
If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
9. Confidentiality
Each party may disclose non-public information that is identified as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Each party agrees to (a) use the other's Confidential Information only to exercise rights and perform obligations under these Terms and (b) protect it using the same degree of care it uses for its own confidential information of like importance, and no less than reasonable care. Customer Data is your Confidential Information.
10. Service availability & support
We use commercially reasonable efforts to make the Service available on a 24/7 basis, subject to scheduled maintenance, emergency maintenance, and events beyond our reasonable control. Standard subscriptions do not include a contractual service level agreement (SLA); specific uptime commitments and priority support are available only under a separate Enterprise agreement.
Support is provided via email and in-app channels during standard business hours.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU ACTUALLY PAID TO PROTRADESMAX FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
13. Indemnification
You will defend, indemnify, and hold harmless ProTradesMax, its affiliates, and its and their officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Customer Data; (b) your or your Users' use of the Service in violation of these Terms or applicable law; or (c) your violation of any third party's rights.
14. Termination & suspension
Either party may terminate these Terms or any subscription for convenience at the end of the then-current billing period by providing notice through the Service or in writing. We may suspend or terminate your access immediately if we believe you have materially breached these Terms, failed to pay fees when due, or used the Service in a manner that creates legal or security risk.
Upon termination, your right to use the Service ends. Customer Data is retained for 30 days after termination to allow recovery and export, after which it is deleted from production systems in the ordinary course (subject to legal retention obligations). Sections that by their nature should survive termination (including ownership, disclaimers, liability limits, indemnification, and dispute resolution) will survive.
15. Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution. Before filing any formal proceeding, the parties agree to attempt to resolve any dispute informally by contacting sboyce628@gmail.com and engaging in good-faith discussions for at least thirty (30) days.
Forum. If a dispute is not resolved informally, the parties agree to bring any claim in the state or federal courts located in the State of Wyoming, and each party consents to the personal jurisdiction of those courts. Either party may, as an alternative, elect to resolve the dispute through binding arbitration before a neutral arbitrator, with the rules, location, and arbitrator-selection process to be set forth in a separately executed arbitration agreement. Nothing in this section prevents either party from bringing an individual claim in small-claims court or seeking injunctive relief to protect its intellectual property rights.
16. Changes to the terms
We may update these Terms from time to time. When we make material changes, we will provide reasonable advance notice (such as by email to the Customer's account owner or through an in-app notice). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree, you may stop using the Service before the changes take effect.
